CLIENT ALERT:Six-month Extension for BOIR Filing

FinCEN has provided a 6-month extension for certain entities to file their initial or amended beneficial ownership information report (“BOIR”) under the Corporate Transparency Act due to the effect of Hurricane Milton. If the entity had an obligation to file an initial or updated BOIR between October 5, 2024 and January 2, 2025 and the entity has a principal place of business in one of the affected counties, their deadline has been extended by 6 months.

For entities created prior to January 1, 2024, the new BOIR filing deadline is July 2025. For entities created between July 6, 2024 and October 4, 2024, their BOIR filing deadline has been extended by 6 months.  Please note that entities created on or after October 5, 2024 are not eligible for this filing extension as their initial BOIR filing deadline falls after January 2, 2025.

The affected counties include: Alachua, Baker, Bradford, Brevard, Broward, Charlotte, Citrus, Clay, Collier, Columbia, DeSoto, Dixie, Duval, Flagler, Gilchrist, Glades, Hamilton, Hardee, Hendry, Hernando, Highlands, Hillsborough, Indian River, Lafayette, Lake, Lee, Levy, Madison, Manatee, Marion, Martin, Miami-Dade, Monroe, Nassau, Okeechobee, Orange, Osceola, Palm Beach, Pasco, Pinellas, Polk, Putman, Sarasota, Seminole, St. Johns, St. Lucie, Sumter, Suwannee, Taylor, Union, and Volusia counties.
